Delaware AI Company bill draws House Oversight Committee scrutiny over liability

The gist

The proposal tests whether a corporate structure can place an AI agent in operational control of a business while insulating human owners from legal responsibility for harms. Law experts have suggested the bill could function as a liability shield for businesses and investors with AI interests, and a UC law professor told the Financial Times it may aim to provide legal certainty for Delaware-registered businesses using agentic AI.

The full picture

Delaware is considering legislation to create a new corporate form called an Artificial Intelligence Company (AIC), under which an AI agent would run day-to-day business operations while providing liability protections to the human or entity behind it. The draft bill includes a 30-month regulatory sandbox period, and any lawful business except banking could be structured as an AIC, requiring only a single human. House Oversight Committee Chair James Comer sent a formal letter to Delaware Governor Matt Meyer requesting documents related to the proposal, citing concerns that the AIC structure could shield AI companies and investors from accountability for harmful actions and enable anticompetitive regulatory capture.
