Anthropic Pledges 5% of Shares to New Public Benefit Fund
The structure ties the fund's equity stake directly to company growth, meaning its share of Anthropic expands as the company's valuation rises. The commitment is pending stockholder approval, leaving its final form unresolved.
The full picture
Anthropic has committed an initial 5% of its shares to a newly created Anthropic Public Benefit Fund, subject to stockholder approval. The fund is structured as a wholly-owned LLC rather than a 501(c)(3) to allow flexibility across different forms of giving; no equity will be used for lobbying or political activity. The board can add 2% more shares for every 50% rise in company valuation above a baseline that has not yet been disclosed. Combined with co-founder pledges to donate 80% of their equity holdings and an employee equity donation match program in which roughly half of all employees participate, approximately 20% of Anthropic shares would be dedicated to public purposes, excluding any additional shares that could be allocated at future valuation milestones. Potential fund uses include large donations to nonprofits, direct distributions to specific populations, and addressing AI-driven labor market disruption, an issue to which Anthropic said it has already committed $200 million. Separately, Anthropic has filed an IPO prospectus that warns its AI models could exhibit self-preserving behaviors.
